Earning Terms of Service
These Earning Terms of Service ("Agreement") govern the relationship between
Togething B.V., a company registered in the Netherlands, and individuals participating in its coaching and referral programs
(collectively referred to as "Earners").
By joining as a Coach or Referrer, you agree to the following terms.
1. Scope of Agreement
This Agreement applies to individuals earning revenue through Togething’s platform in two
ways:
• Coaches: Users offering mentorship, training, or guidance to clients.
• Referrers: Users promoting Togething and referring new coaches or referrers.
Togething may accept or reject coach applications at its discretion.
2. Independent Contractor Status
Earners are independent contractors and not employees, agents, or representatives of Togething. You are solely responsible for:
✅ Compliance with tax, legal, and regulatory obligations in your country.
✅ Any liabilities or risks arising from your services or referrals.
✅ Your own expenses related to your coaching or promotional activities.
Togething only provides the platform and is not responsible for earnings, client interactions, or disputes between users.
3. Referral Program (For Referrers)
• Earn 10% of the net revenue generated by coaches you refer for six (6) months.
• Earn a 10% commission on the revenue earned by other referrers you introduce.
• A referral is valid only if the referred user signs up using your referral link or enters your username at sign-up.
• Commission is calculated daily and added to your balance.
• Togething reserves the right to reject any referred individual who does not meet eligibility criteria.
4. Coaching Program (For Coaches)
• Coaches earn 80% of the net revenue from their clients' subscription fees.
• Net revenue is defined as the total subscription revenue received by Togething after
deducting third-party platform fees (such as Google Play, the App Store, or other
payment and subscription management costs).
• Subscription pricing is set by the coach within Togething’s available tiers.
• Earnings accumulate daily and are eligible for payout once the balance reaches €100.
• Togething reserves the right to reject coaching applications and terminate coaching
accounts if they fail to comply with the platform’s policies.
4.1 Coach Responsibilities & Platform Compliance
Coaches must:
✅ Provide accurate information about their coaching services.
✅ Respect user privacy and confidentiality.
✅ Conduct themselves professionally and ethically.
Prohibited Practices:
❌ Making misleading claims about your services.
❌ Sharing or promoting divisive, harmful, or illegal content.
❌ Engaging in harassment, discrimination, or offensive behavior.
❌ Encouraging actions that violate local laws or ethical standards.
❌ Directly soliciting Togething users to external platforms for payments.
Violation of these terms may result in account suspension or termination without payout.
5. Payments & Invoicing
• Earners can request payouts once their balance reaches €100.
• Payments are processed within the first three (3) business days of the following month.
• Payment methods: PayPal or other payment methods as determined by Togething (transaction fees apply).
• Invoices are automatically generated when a payout is requested.
• Earners must confirm their invoice in-app before payment processing.
Taxes & VAT:
• Earners are responsible for reporting and paying any applicable taxes in their country.
• If VAT applies, the system-generated invoice will include VAT details or apply the reverse charge mechanism if required.
6. Code of Ethics & Prohibited Activities
Earners must adhere to ethical and legal standards to protect the integrity of Togething.
Strictly Prohibited Conduct:
❌ Fraudulent, misleading, or unethical marketing practices.
❌ Spamming or mass-inviting users in a way that could flag Togething as spam.
❌ Engaging in any practice that harms the platform’s reputation.
❌ Attempting to manipulate Togething’s referral or payment system.
Failure to comply will result in account suspension and forfeiture of earnings.
7. Account Termination
Togething reserves the right to suspend or terminate an account if:
• The Earner engages in fraud, unethical behavior, or platform abuse.
• A Coach violates Togething’s Code of Conduct.
• A Referrer misuses marketing tactics to deceive or manipulate users.
• Togething may provide reasons for termination but is not obligated to do so.
Upon termination by Togething, any earned commissions that meet payout eligibility may
be forfeited in cases of fraud, unethical behavior, or platform abuse, at Togething’s
discretion. Otherwise, eligible earnings will be paid out, but future earnings will be lost.
8. Limitation of Liability
• Togething does not guarantee income—your earnings depend on user engagement.
• Togething is not responsible for client disputes, service issues, or financial losses
incurred by Earners.
• The platform reserves the right to modify its payment structure, referral
program, or policies at any time.
9. Confidentiality & Data Protection
• Earners agree to keep any non-public business information of Togething
confidential.
• Earners must comply with all applicable data protection laws when handling user
data.
• Any misuse or unauthorized disclosure of sensitive information may result in
immediate termination.
10. Dispute Resolution
In case of disputes:
✅ First, attempt resolution through Togething’s support team.
✅ If unresolved, disputes will be settled under the Netherlands Arbitration Institute
(NAI).
11. Governing Law
This Agreement is governed by the laws of the Netherlands.
Agreement & Acceptance
By participating as a Coach or Referrer, you acknowledge that:
✅ You have read, understood, and accepted these terms.
✅ You agree to comply with all platform policies.
✅ You understand Togething is not responsible for any liabilities arising from your services
or earnings.
